ShopOS Legal Framework: Terms of Use

This Agreement is entered into by and between HOM.AI PTE. LTD., a company incorporated in Singapore (“HOM.AI,” “we,” “us,” or “our”), and the party accessing or using the Services (“User” or “you”).
By clicking “I Agree,” executing an Order Form, or by accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

These Terms incorporate the AUP (Section 5), Copyright Dispute Policy (Section 6), and the Privacy Policy.
1. Definitions
Agreement: Refers to these Terms of Use, the Privacy Policy, the AUP, and any executed Order Form.
Inputs: Means all data, content, files, prompts, product images, URLs, or information uploaded or submitted by you.
Outputs: Means the images, videos, text, code, or any other content generated by the Services based on your Inputs.
Services: All tools, products, and features offered under the ShopOS brand.
Subscription Term: The period for which you have purchased access.
Eligibility: You represent that you are at least 18 years of age, or the applicable legal age of majority, and have the authority to enter into this Agreement on behalf of yourself or your business.
2. The Services and License Grant
2.1 Scope of Service
HOM.AI provides two core lines of business:
- AI Image & Content Generation
- E-commerce Visuals & Catalogue Creation
We may modify, improve, update, or discontinue features of the Services at any time.
2.2 License Grant
Non-exclusive, non-transferable, non-sublicensable license for internal business use.
3. Financial Terms and Credits
3.1 Credit System and Payment
Credit-based generation; credits deducted per successful Output.
Payments non-refundable except as required by Singapore law.
Credit expiration defined in your plan.
3.2 Fair Usage
Rate limits or suspensions may apply to abusive or automated usage.
3.3 Chargebacks
You agree not to initiate chargebacks without first contacting HOM.AI. Unauthorized chargebacks may result in suspension or termination.
4. Intellectual Property and Data Rights
4.1 Ownership of Outputs
Outputs are assigned to you upon the deduction of the required credits used to generate them. HOM.AI does not control or review the Inputs you provide and disclaims all responsibility for any Output that infringes third-party rights, including rights of publicity, privacy, copyright, or trademark. You are solely responsible for ensuring that your Inputs and Outputs comply with applicable laws and do not violate any third-party rights.
4.2 Your Inputs
You retain ownership. HOM.AI receives a limited license to operate and improve the Services.
Clarification:
This license includes usage of metadata, system logs, and anonymized analytics for improving non-generative features.
AI Model Training Exclusion: Inputs may be used by HOM.AI to train, fine-tune, and improve our generative AI models, unless you opt out by contacting support.
4.3 Ownership of Services
All software, models, algorithms, and trademarks remain the exclusive property of HOM.AI.
4.4 Data Retention & Deletion
Upon termination, you may request deletion of your Inputs and Brand Memory Profile. Certain data may be retained as required by law or for legitimate business interests (e.g., fraud prevention).
5. Acceptable Use Policy (AUP)
5.1 Prohibited AI Misuse
You shall not use the Services to create or disseminate content that:
- contains unauthorized PII
- constitutes deepfakes or deceptive content
- trains or develops competing AI models
- attempts to bypass system limits or interfere with the Services
5.2 Prohibited E-commerce Misuse
No infringement, misleading claims, counterfeit content, or attempts to circumvent marketplace policies.
6. Copyright Dispute Policy
Note: Although HOM.AI is a Singapore-based company, we adopt a DMCA-style takedown procedure for global interoperability.
6.1 Reporting Infringement
Submit a Notice with signature, identification, and good-faith statements.

7. Warranty Disclaimer
The Services are provided “AS IS” and “AS AVAILABLE,” without any warranties of any kind.
HOM.AI provides no express or implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, or reliability of Outputs. Users are solely responsible for evaluating whether the Services and Outputs meet their requirements.
7.1 E-commerce Compliance Disclaimer
No guarantee of marketplace acceptance.
8. Limitation of Liability and Indemnity
8.1 Limitation of Liability
HOM.AI’s total cumulative liability arising out of or relating to the Services shall not exceed the greater of (a) the fees paid by you in the one (1) month preceding the event giving rise to the claim, or (b) S$100.
8.2 Indemnification
You indemnify HOM.AI for breaches, misuse, and claims arising from your Inputs or Outputs.
No indemnification provided by HOM.AI for Output IP disputes.
9. Governing Law and Dispute Resolution
Singapore law applies.
Disputes resolved via SIAC arbitration in Singapore.
10. General Provisions and Termination
10.1 Termination
We may terminate for breach.
You may terminate with 30 days’ written notice.
10.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account.
10.3 Force Majeure
Not liable for events beyond reasonable control.
10.4 Changes to Terms
Continued use signifies acceptance of updated Terms.
10.5 Severability
If any provision is found invalid, the remaining provisions remain in effect.
10.6 Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions or understandings.
