ShopOS Terms of Service

Please read these Terms of Service ("Terms") carefully before using ShopOS. These Terms constitute a legally binding agreement between you ("you," "your," "User") and HOM.AI PTE. LTD. ("HOM.AI," "we," "us," "our"), a company incorporated in Singapore with its registered office at 20 Collyer Quay, #18-03, Singapore 049319, which operates the ShopOS platform and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Service.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and references to "you" mean that entity.

1. Definitions

Agent Action: Any action executed by a ShopOS AI agent on your behalf, including content creation, content publication, catalog updates, advertising campaign modifications, price changes, scheduling, and workflow executions on a Connected Platform or within ShopOS.

Agent Scope: The permissions, spending limits, action thresholds, platforms, and configurations you establish within your account settings to govern what Agent Actions are permitted.

Beta Features: Any features or functionality made available by HOM.AI on a trial, preview, experimental, or beta basis, as designated by HOM.AI from time to time.

Connected Platform: Any third-party platform, marketplace, advertising network, or service to which you grant ShopOS access credentials or API authorization, including but not limited to Shopify, Meta, Google, Amazon, Walmart, Target, eBay, Wayfair, Houzz, Noon, Flipkart, and Lazada.

Credits: The units of usage consumed when you generate Outputs or execute certain features within the Service.

Inputs: All content, data, prompts, files, images, URLs, and instructions you submit to the Service.

Live Data: Real-time or near-real-time data accessed from a Connected Platform pursuant to your authorization, including performance metrics, inventory data, pricing data, order data, and customer engagement signals.

Outputs: All content, images, videos, copy, and other materials generated by the Service in response to your Inputs.

Workspace: Your account environment within ShopOS, including your Brand Memory, Files, Spaces, and associated settings.

2. The Service

ShopOS provides AI-powered tools for creative content generation, image and video production, e-commerce catalog optimization, and brand asset management for e-commerce and DTC brands. The Service operates on a credit-based subscription model with various tier options.

ShopOS additionally provides autonomous AI agent services that connect to your Connected Platforms to read Live Data and execute Agent Actions on your behalf, including publishing content, updating product listings, managing advertising campaigns, and running performance optimization workflows.

The Service, its features, and its functionality may be modified, updated, or discontinued at any time at HOM.AI's discretion. We will endeavour to provide reasonable advance notice of material changes where practicable.

3. Eligibility and Account Registration

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement.

You agree to provide accurate, current, and complete information when creating your account and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hi@shopos.ai if you suspect any unauthorized use of your account.

HOM.AI reserves the right to suspend or terminate accounts that provide false or misleading registration information or that violate these Terms.

4. Subscriptions, Credits, and Billing

Subscriptions

The Service is provided on a paid subscription basis. Subscription plans, pricing, and included Credits are as described on the ShopOS website or as agreed in your order. Subscriptions automatically renew at the end of each billing period unless cancelled in accordance with Section 13.

Credits

Certain features of the Service consume Credits upon use. Credits are non-transferable, have no cash value, and expire at the end of each billing period unless otherwise specified. HOM.AI reserves the right to adjust Credit allocations with reasonable notice.

Payment

All fees are billed in advance in the currency specified at checkout. You authorize HOM.AI to charge your designated payment method for all applicable fees. If payment cannot be processed, HOM.AI may suspend your access to the Service until payment is resolved.

Taxes

You are responsible for all applicable taxes, levies, or duties imposed in connection with your use of the Service.

Chargebacks

Initiating a chargeback or payment dispute without first contacting HOM.AI to resolve the issue may result in immediate suspension or termination of your account.

5. Refunds

All payments are non-refundable, except as required by applicable Singapore law or as expressly stated otherwise in these Terms.

If you believe you have been incorrectly charged, contact hi@shopos.ai within 30 days of the charge. HOM.AI will investigate and, where a billing error is confirmed, issue a credit or refund as appropriate.

Upon termination of your account, any unused Credits or prepaid subscription fees for the remaining billing period are non-refundable, except where termination is caused by HOM.AI's material breach of these Terms.

6. Your Inputs, Outputs, and Data

Ownership of Inputs

You retain all ownership rights in your Inputs. By submitting Inputs to the Service, you grant HOM.AI a non-exclusive, worldwide, royalty-free license to process, store, and use your Inputs solely as necessary to provide, operate, maintain, and improve the Service.

Ownership of Outputs

Upon deduction of the applicable Credits, HOM.AI grants you a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and commercialize Outputs generated from your Inputs, subject to these Terms.

HOM.AI does not guarantee that Outputs are unique or exclusive, and similar or identical Outputs may be generated for other users.

To the extent permitted by applicable law, HOM.AI makes no representation or warranty that Outputs are eligible for intellectual property protection or capable of being owned.

Responsibility for Outputs

You acknowledge that Outputs generated by the Service are based on your Inputs and configurations. You are solely responsible for reviewing, validating, and ensuring that all Outputs — including images, videos, and text — comply with applicable laws and do not infringe any third-party rights, including intellectual property, privacy, publicity, or personality rights.

You must not use the Service to generate or distribute content that is unlawful, infringing, defamatory, or that involves the unauthorized use of any individual's likeness, including celebrities or public figures, or content that is sexually explicit, non-consensual, or otherwise objectionable.

HOM.AI does not control, endorse, or assume responsibility for any Outputs generated through the Service.

AI Model Training

ShopOS is an aggregator platform powered by a combination of HOM.AI's own models and multiple third-party AI model providers. Data usage for AI model training varies depending on the feature and the underlying AI model used. Some features are powered by models that do not train on your Inputs or Outputs; others may use your interactions to improve model performance.

Your Representations

You represent and warrant that:

  • You own or have all necessary rights, licenses, and permissions to submit your Inputs
  • Your Inputs do not infringe any third-party intellectual property, privacy, or other rights
  • You have obtained all necessary consents for any personal data, including images or likenesses of identifiable individuals, included in your Inputs
  • Your use of Outputs will comply with all applicable laws

Workspace Data

Upon account termination, you may request deletion of your Inputs, brand profiles, and other Workspace data by emailing hi@shopos.ai. Deletion will be carried out within a reasonable timeframe, subject to any legal retention obligations.

7. Live Data Source Connections

a. Authorization

By connecting a Connected Platform, you grant HOM.AI a limited, revocable, non-exclusive authorization to access, read, and where configured, act upon data on that platform on your behalf. This authorization is strictly limited to your configured Agent Scope. HOM.AI will not access data or take actions beyond the scope of your authorization.

b. Scope of Access

HOM.AI will only access data categories you authorize during connection setup. We will not use your Connected Platform access for any purpose other than executing your authorized workflows and providing you with analytics and insights within the Service.

c. Revocation

You may revoke ShopOS's access to any Connected Platform at any time through your account settings. Revocation takes effect within 24 hours. Following revocation, all active agent workflows connecting to that platform will cease, queued Agent Actions for that platform will be cancelled.

d. Your Representations Regarding Connected Platforms

You represent and warrant that:

  • You hold the legal authority to grant HOM.AI the access you authorize for each Connected Platform
  • Your use of ShopOS in connection with each Connected Platform complies with that platform's applicable developer, API, seller, and marketplace terms
  • You will promptly notify HOM.AI at hi@shopos.ai if you lose authorization to access a Connected Platform
  • Any personal data of your end customers accessible through your Connected Platforms is processed by ShopOS under your authority as data controller

e. Third-Party Platform Changes

Connected Platforms may change their APIs, access policies, or terms of service at any time without notice to HOM.AI. HOM.AI is not liable for any service interruption, data loss, or Agent Action failure caused by unilateral changes made by Connected Platform providers.

8. Autonomous Agent Actions

a. What Agents Do

ShopOS AI agents may execute the following categories of Agent Actions on your behalf:

  • Create and publish creative content to your connected channels
  • Synchronize and update product catalog data across marketplaces
  • Adjust advertising campaigns, including budgets, audiences, and creatives, within your configured limits
  • Schedule and publish social media and email content
  • Execute performance optimization and A/B testing workflows
  • Perform other e-commerce automation tasks as made available within the Service from time to time

b. You Are the Principal

Agent Actions are executed on your behalf. You are the principal; HOM.AI Agents act as your automated delegate. The consequences of Agent Actions — including on your Connected Platform accounts, your advertising spend, your product listings, and your business — are your responsibility.

c. Your Obligations

You are responsible for:

  • Configuring appropriate Agent Scope settings before enabling live Agent Actions, including spending limits, action thresholds, and platform-specific authorizations
  • Regularly reviewing your Agent Action Logs to verify that agents are acting within your intended scope
  • Validating the accuracy and appropriateness of Agent Actions and their results
  • Correcting any errors on Connected Platforms resulting from Agent Actions
  • Ensuring Agent Actions comply with all applicable laws, regulations, and platform policies

d. Optional Controls

HOM.AI provides the following optional controls in Agent Settings, which you may configure at your discretion:

  • Spending limits and action thresholds per agent and per period
  • Approval-based workflows requiring your confirmation before an action executes
  • Platform-specific authorization scopes
  • Active hours restrictions for agent execution

These controls are tools provided for your convenience. They are optional. Failure to configure them does not affect your responsibility for Agent Actions executed within your account.

e. Validation Responsibility

AI outputs and Agent Actions may contain errors, inaccuracies, or produce unintended results. HOM.AI does not guarantee that Agent Actions will be error-free or that they will achieve any specific business outcome. You are solely responsible for reviewing, validating, and determining the suitability of all Agent Actions and their consequences, whether before or after execution.

f. Pausing and Stopping Agents

You may control Agent Actions at any time by disabling individual agents through your account settings.

Agent Actions must be paused or stopped on an agent-by-agent basis using the available controls within your dashboard.

g. No Liability for Platform-Level Consequences

HOM.AI is not liable for any consequences arising from Agent Actions on Connected Platforms, including but not limited to:

  • Platform policy violations
  • Advertising account suspensions
  • Marketplace seller performance impacts
  • Penalties imposed by Connected Platforms
  • Financial losses resulting from agent-executed campaigns or pricing changes
  • Any other commercial or operational consequences

You remain solely responsible for your accounts, compliance, and outcomes on all Connected Platforms.

h. Beta Agent Features

Agent features designated as Beta are experimental, may be unstable, and may be modified or discontinued without notice. HOM.AI expressly disclaims all liability for any consequences arising from Beta Agent Features acting on live Connected Platforms.

9. Prohibited Uses

You must not use the Service, directly or indirectly, to:

  • Upload, submit, or process sensitive personal data, including government-issued identification numbers, financial account information, health or medical records, or biometric data
  • Create deepfakes, impersonate any person or entity, or generate deceptive or misleading content about real individuals
  • Produce content that is defamatory, obscene, harassing, hateful, or that promotes violence or illegal activity
  • Infringe any third party's intellectual property, privacy, or other legal rights
  • Misuse the likeness, image, or voice of any person without their explicit consent
  • Attempt to extract, reverse engineer, or otherwise access the underlying models, algorithms, or source code of the Service
  • Use the Service to develop, train, or improve competing AI models or services without HOM.AI's prior written consent
  • Circumvent, disable, or interfere with security features, rate limits, or access controls of the Service or any Connected Platform
  • Use Agent Actions to violate the terms of service, developer policies, API usage policies, or marketplace rules of any Connected Platform
  • Instruct Agents to engage in marketplace manipulation, artificial inflation of review scores or performance metrics, or any form of fraudulent commercial activity
  • Connect a Connected Platform account to which you do not have authorized access or for which you have not obtained all necessary permissions
  • Configure Agents to circumvent platform safety mechanisms, detection systems, or content moderation tools
  • Access or process personal data of third parties beyond what is strictly necessary for your authorized e-commerce workflows
  • Provide false or misleading authorization information that causes HOM.AI to act beyond your actual platform permissions
  • Use the Service in any manner that violates applicable laws or regulations in any jurisdiction

Enforcement

HOM.AI reserves the right to suspend or terminate access to the Service immediately and without notice for any violation of this section.

10. Intellectual Property

HOM.AI's IP

All software, technology, models, algorithms, interfaces, trademarks, trade names, and content comprising or underlying the Service are owned by HOM.AI or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in HOM.AI's intellectual property other than the limited right to use the Service as permitted herein.

Feedback

If you provide HOM.AI with suggestions, ideas, or feedback regarding the Service, you grant HOM.AI an irrevocable, perpetual, worldwide, royalty-free license to use, implement, and incorporate such feedback without any obligation to you.

DMCA / Copyright Notices

HOM.AI respects intellectual property rights. If you believe content on the Service infringes your copyright, please contact us at hi@shopos.ai with the information required under applicable copyright law. HOM.AI will investigate and respond in accordance with its legal obligations.

11. Representations and Warranties

You represent and warrant that:

  • You have the legal capacity and authority to enter into these Terms
  • Your use of the Service will comply with all applicable laws and regulations
  • All information you provide to HOM.AI is accurate and complete
  • You will not use the Service to engage in any unlawful, harmful, or fraudulent activity

Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HOMAI EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

HOM.AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. HOM.AI DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR FITNESS FOR PURPOSE OF ANY OUTPUTS OR AGENT ACTIONS.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

a. Exclusion of Consequential Loss

IN NO EVENT WILL HOMAI, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF HOMAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

HOM.AI shall have no liability for any Outputs generated through the Service, including where such Outputs infringe third-party rights, violate applicable law, or are used in a manner that is unlawful, misleading, or harmful.

b. Cap on Liability

HOMAI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE — INCLUDING CLAIMS ARISING FROM AGENT ACTIONS, LIVE DATA CONNECTIONS, CONNECTED PLATFORM CONSEQUENCES, OR OUTPUTS — SHALL NOT EXCEED THE GREATER OF:

  • (A) THE TOTAL FEES PAID BY YOU TO HOMAI IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  • (B) S$100 (SINGAPORE DOLLARS).

c. Mandatory Exceptions

Nothing in these Terms excludes or limits HOM.AI's liability for:

  • (i) death or personal injury caused by HOM.AI's gross negligence or wilful misconduct;
  • (ii) fraud or fraudulent misrepresentation; or
  • (iii) any liability that cannot be excluded or limited under mandatory applicable law.

d. Basis of the Bargain

You acknowledge that the limitations of liability in this section reflect a reasonable allocation of risk and form an essential basis of the bargain between you and HOM.AI. HOM.AI would not provide the Service on the terms set out herein without these limitations.

13. Indemnification

You agree to defend, indemnify, and hold harmless HOM.AI, its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your Inputs, Outputs, or use of the Service
  • Your violation of these Terms or any applicable law or regulation
  • Your infringement of any third-party intellectual property, privacy, or other rights
  • Agent Actions executed within your account, including consequences on Connected Platforms
  • Your violation of any Connected Platform's terms, policies, or rules arising from your configuration or instructions
  • Any personal data of your end customers processed by ShopOS under your authority
  • Any claim by a third party arising from content you publish using the Service

14. Termination

By You

You may terminate your account and subscription at any time by providing 30 days' written notice to hi@shopos.ai or by cancelling through your account settings where that functionality is available. Termination does not entitle you to a refund of any prepaid fees except as expressly provided in Section 5.

By HOM.AI

HOM.AI may suspend or terminate your access to the Service immediately and without notice if:

  • (i) you breach any provision of these Terms;
  • (ii) HOM.AI reasonably suspects fraudulent, abusive, or illegal activity associated with your account;
  • (iii) your payment repeatedly fails; or
  • (iv) HOM.AI is required to do so by law.

HOM.AI may also terminate the Service entirely with reasonable notice.

Effect of Termination

Upon termination for any reason:

  • Your right to access and use the Service ceases immediately
  • All Agent Actions cease immediately; queued but unexecuted Agent Actions are cancelled
  • HOM.AI may delete your account data in accordance with our Privacy Policy
  • You may request deletion of your data by emailing hi@shopos.ai
  • Sections that by their nature should survive termination will survive, including Sections 6, 10, 12, 13, 15, 16, and 17

15. Modifications to the Service and Terms

Service Changes

HOM.AI may update, modify, or discontinue any aspect of the Service at any time. We will use reasonable efforts to notify you of material changes that adversely affect your use of the Service.

Changes to Terms

We may update these Terms from time to time. For material changes — particularly those affecting your data rights, Agent Action scope, Connected Platform provisions, or liability — we will provide at least 14 days' advance written notice by email to your registered address before the changes take effect.

Your continued use of the Service after the notice period constitutes your acceptance of the updated Terms. If you do not accept a material change, you may terminate your subscription within the notice period in accordance with Section 14 without incurring an early termination penalty.

16. Dispute Resolution and Governing Law

Governing Law

These Terms and any disputes arising out of or in connection with them are governed by the laws of Singapore, without regard to conflict of law principles.

Arbitration

Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the SIAC Arbitration Rules for the time being in force.

The seat of arbitration shall be Singapore.

The language of arbitration shall be English.

The tribunal shall consist of one arbitrator.

Mandatory Law

Nothing in this section limits rights you may have under mandatory applicable law in your jurisdiction that cannot be contracted out of, including applicable consumer protection laws.

17. General

Entire Agreement

These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and HOM.AI regarding the Service and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

HOM.AI's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without HOM.AI's prior written consent. HOM.AI may assign these Terms or any rights hereunder without restriction.

Force Majeure

HOM.AI is not liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, natural disasters, internet or telecommunications failures, government action, or Connected Platform outages.

No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and HOM.AI. You have no authority to bind HOM.AI in any way.

Notices

Notices from HOM.AI to you will be sent to your registered email address. Notices from you to HOM.AI must be sent to hi@shopos.ai or to HOM.AI PTE. LTD., 20 Collyer Quay, #18-03, Singapore 049319.

Electronic Communications

By using the Service, you consent to receive communications from HOM.AI electronically. You agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communications be in writing.
